Welcome Aboard! This is to formalize our various conversations regarding your agreeing to work as an Independent Contractor (“Contractor”) for Texas Shoppers Network™Inc,., (herein Referred to as “TSN”) to assist in various administrative and other functions, including, but not limited to, mystery shopping of various kinds, as well as other related work that TSN designates for you from time to time. In addition you agree to abide by TSN’s training requirements which will be supplied to you upon our receipt of each assignment from our client. INDEPENDENT CONTRACTOR It is agreed between us that you will at all times conduct all of your work for TSN as an Independent Contractor and as such you will have no set hours and will not be required to work exclusively for TSN, but may work with any other services or product lines that are not in direct competition with the companies that TSN is conducting mystery shopping for or any product line or service that TSN is working with. ALL OF THESE MYSTERY SHOPPING ASSIGNMENTS, PRODUCT LINES, OR SERVICES MUST BE APPROVED IN WRITING BY TSN PRIOR TO INDEPENDENT CONTRACTOR WORKING WITH THEM. As an independent contractor you agree to pay all taxes owed by you including income and social security taxes as a self employed taxpayer. You also agree to carry your own workers compensation coverage as well as business liability insurance on whatever vehicle you use in the minimum amount required by law. You further agree to provide TSN with a copy of your vehicle insurance policy prior to commencing work and at any time that it may be changed. PAYMENT It is agreed that TSN and Contractor will agree on the payment of Contractor’s services on a project-by-project basis. Once these terms are agreed to, Contractor will provide TSN with an invoice upon completion of Contractor’s work. All such invoices shall be paid by TSN within thirty days of TSN’s receipt of same. Contractor agrees that the sums paid and the terms of payment shall remain confidential and shall not be disclosed to anyone without the express written consent of TSN. Page 2 CONFIDENTIALITY AGREEMENT It is understood and agreed that during the time that Contractor is working for TSN, Contractor will have access to information that is confidential and private regarding TSN’s business operations. Contractor agrees that all such information that Contractor learns about or receives while working for TSN is the property of TSN and as such shall be kept confidential and not disclosed to anyone or used in any way by Contractor without the express written permission of TSN. You also agree not to compete with TSN in any of its businesses for a period of two years following the termination of our business relationship. TERMINATION OF AGREEMENT Either party may terminate this agreement at any time, for any reason whatsoever, by providing the other party with at least thirty (30) days prior written notification of same via fax or mail at the number and/or address referred to above. Prior to the termination date Independent Contractor agrees to return all samples, catalogs, account lists, software, or any other information of merchandise that TSN or TSN's customer has supplied to you.
